These Terms govern access to and use of the UBZ mobile application, website, business directory, marketplace, chat, AI-assisted search, advertising, promotions, and related services (the “Platform”). By creating an account, posting, communicating, purchasing a UBZ service, or otherwise using the Platform, you agree to these Terms and the Privacy Policy. If you do not agree, do not use UBZ. Nothing in these Terms excludes a right or remedy that applicable law does not permit you to waive.
1. Eligibility
You must have reached the legal age of majority where you live and, in all cases, be at least 18 years old. If you use UBZ for an organization, you confirm that you are authorized to bind it and will comply with applicable laws.
2. Accounts and security
Provide accurate, current information and keep it updated. You are responsible for your credentials and activity under your account. Notify info@ubz.ca of unauthorized use. Do not create deceptive, unauthorized, or duplicate accounts.
3. Acceptable use
Use UBZ lawfully and respectfully. Do not impersonate others, send spam, scrape or automate access without permission, bypass security, introduce harmful code, disrupt the service, harvest personal information, or use the Platform for fraud or unlawful activity.
4. Listings and user responsibility
You are solely responsible for the accuracy, completeness, legality, safety, ownership, intellectual-property rights, price, taxes, mandatory fees, condition, location, contact details, licences, certifications, warnings, and availability of content you submit. Do not hide a material fact or advertise an unattainable price. UBZ may review or verify some information but has no general duty and cannot independently authenticate every identity, business, credential, product, service, job, property, review, or claim. A badge, status, ranking, moderation decision, or continued publication is not an endorsement or guarantee. Users must perform their own due diligence.
5. Prohibited listings and content
UBZ is intended to be a broadly accessible, general-audience marketplace. UBZ may reject, restrict, preserve, report, or remove content that is deceptive, illegal, defamatory, infringing, discriminatory, obscene, exploitative, hateful, violent, unsafe, malicious, counterfeit, stolen, recalled, prohibited, or spam.
To keep UBZ appropriate for a general audience, the following are not accepted even when they may otherwise be lawful, licensed, or regulated in a particular jurisdiction: cannabis, marijuana, THC or CBD products, cannabis accessories, dispensaries, or cannabis-related businesses; alcoholic beverages, alcohol sales or delivery, or businesses primarily focused on alcohol, including liquor stores, breweries, wineries, distilleries, bars, or similar establishments; gambling, casinos, betting, wagering, sportsbooks, lotteries, raffles, games of chance, or gambling-related businesses; pornography, sexually explicit content, nudity intended for sexual gratification, sexual or escort services; and adult or sexual products, including sex toys, sexual devices, fetish products, or sexually explicit merchandise. Tobacco and vaping products or businesses are also prohibited.
These restrictions apply to listings, advertisements, stores, business or professional profiles, services, jobs, events, promotions, coupons, links, usernames, images, messages, and any other content that directly or indirectly offers, promotes, advertises, facilitates, or redirects users to a prohibited product, service, activity, or business.
Other prohibited offers include illegal drugs; weapons, ammunition, or explosives; stolen or counterfeit goods; recalled or unsafe products; pharmaceuticals, medical devices, financial products, wildlife, pesticides, hazardous materials, or other regulated goods offered contrary to law or UBZ policy; human trafficking; pyramid or deceptive earning schemes; fraudulent documents; and any good, service, job, housing, event, or content that violates law or UBZ policy. This list is not exhaustive. UBZ may remove content, reject or close a business profile, restrict or terminate an account, preserve evidence, or report conduct to the appropriate authority without prior notice and without refund, except where applicable law requires otherwise.
6. Your content
You keep ownership of content you submit. You grant UBZ a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, display, distribute, and promote that content as needed to operate and market the Platform. You confirm that you have the necessary rights and that your content does not violate another person’s rights.
7. UBZ intellectual property
UBZ software, branding, design, text, graphics, and other materials belong to UBZ or its licensors and are protected by law. You receive a limited, revocable, non-transferable right to use the Platform. You may not copy, resell, reverse-engineer, or exploit it without written permission.
8. Promotions, fees, and taxes
Regular listings may be free, while optional Featured, Top, Bump Up, membership, or advertising services may have fees. Before a UBZ purchase, the Platform will display the material description, current price and currency, duration, applicable mandatory UBZ fees, renewal terms if any, and available cancellation or refund rules. Government-imposed taxes may be added. Fees are non-refundable only to the extent disclosed and permitted by law; statutory cancellation, refund, chargeback, and consumer rights remain available. Promotions provide placement or presentation for a stated period but do not guarantee views, contacts, sales, revenue, ranking, or any business result. Prices and features may change prospectively.
9. Transactions between users
UBZ is an advertising, discovery, and communication platform. Unless UBZ expressly identifies itself as the seller of a specific UBZ service, UBZ is not a party to, broker, auctioneer, payment intermediary, escrow provider, insurer, employer, landlord, tenant, buyer, seller, contractor, agent, fiduciary, or guarantor of a user transaction. Payment, delivery, title, risk of loss, returns, warranties, permits, taxes, and disputes for advertised goods or services are solely between the users. Verify identity, authority, ownership, condition, recalls, credentials, licences, insurance, contracts, total price, and payment terms before proceeding. Never treat a profile, listing, chat, badge, or search rank as verification. You voluntarily assume the risks of dealing with other users.
10. Safety and reporting
Use caution, protect personal information, inspect goods, use written agreements where appropriate, avoid suspicious advance payments or overpayments, do not share passwords or financial credentials, and meet in a safe public place when possible. Obtain independent professional advice for legal, medical, financial, real-estate, construction, immigration, employment, or other regulated matters. Report suspected fraud, injury, unsafe or recalled products, abusive users, or prohibited content through the app and to the appropriate authority where necessary. UBZ may investigate, preserve records, warn users, remove content, restrict accounts, and cooperate with regulators, Health Canada, law enforcement, emergency services, or courts where permitted or required, but cannot guarantee recovery, resolution, or prevention of harm.
11. Availability and changes
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, UBZ disclaims representations, conditions, and warranties, express, implied, statutory, or collateral, including merchantability, fitness for purpose, title, non-infringement, quality, accuracy, availability, security, and results. Features, categories, rankings, listings, storage, or access may change, pause, fail, or end without guarantee. UBZ does not warrant uninterrupted, timely, error-free, malware-free, or completely secure operation; preservation of data; compatibility with every device; or the identity, conduct, content, goods, services, credentials, legality, safety, or solvency of any user or third party.
12. Third-party services and advertising
UBZ may display or rely on third-party links, websites, maps, location data, app stores, identity providers, payment pages, advertisements, AI services, notifications, hosting, and integrations. Availability does not mean endorsement. Your dealings with those parties are governed by their terms and are between you and them. To the maximum extent permitted by law, UBZ is not responsible for third-party acts, omissions, content, code, availability, security, privacy practices, billing, products, services, representations, losses, or disputes.
13. Disclaimers and liability
To the maximum extent permitted by applicable law, UBZ and its owners, affiliates, directors, officers, employees, contractors, and agents are not liable for loss caused by users, listings, communications, transactions, unsafe products, fraud, identity theft, personal injury, property damage, employment or housing decisions, professional services, third parties, outages, data loss, unauthorized access, malware, reliance on search or AI output, or content removal. They are not liable for indirect, incidental, special, consequential, exemplary, aggravated, or punitive damages, lost profit, revenue, opportunity, reputation, goodwill, data, or anticipated savings, even if advised of the possibility.
For claims that cannot lawfully be excluded, aggregate liability is limited to the greater of CAD $100 and the amount you paid directly to UBZ for the specific UBZ service giving rise to the claim during the 12 months before the event. This section does not exclude liability that cannot be limited by law, including liability arising from UBZ’s fraud, wilful misconduct, or other liability for which exclusion is prohibited. Some jurisdictions do not permit particular exclusions, so they apply only to the lawful extent.
14. Indemnification
To the extent permitted by law, you will indemnify and hold harmless UBZ, its owners, affiliates, directors, officers, employees, contractors, agents, and licensors from third-party claims, regulatory proceedings, losses, liabilities, penalties, recalls, and reasonable legal costs arising from your content, goods or services, user transaction, tax or regulatory duty, misuse of the Platform, breach of these Terms, or infringement of another person’s rights. UBZ may control the defence with reasonable cooperation from you. This obligation does not require indemnification for UBZ’s own fraud, wilful misconduct, or responsibility that law does not allow UBZ to shift.
15. Suspension and termination
UBZ may restrict, suspend, or terminate access and remove content for a Terms violation, legal or security risk, non-payment, or other legitimate reason. You may stop using UBZ and request account deletion. Provisions concerning ownership, disclaimers, liability, indemnity, and disputes survive termination.
16. Privacy and data
The Privacy Policy explains collection and use of information. UBZ may analyze service usage to maintain security, improve features, and understand performance. Questions about data handling can be sent to info@ubz.ca.
17. Governing law and disputes
These Terms are governed by British Columbia law and applicable federal Canadian law, without depriving a consumer of mandatory protections in their home province or territory. Contact info@ubz.ca first and provide enough detail to attempt an informal resolution. Subject to non-waivable law, proceedings may be brought before courts of competent jurisdiction in British Columbia. Nothing in these Terms requires pre-dispute arbitration, waives a class proceeding, restricts a lawful consumer review, prevents a complaint to a regulator, or limits access to a court where such a restriction is prohibited or inoperative. The parties may agree to mediation or arbitration after a dispute arises.
18. Changes to these Terms
UBZ may update these Terms and will post the revised version with an updated effective date. Continued use after changes take effect means you accept them. Material changes may also be communicated through the app or account contact information.
19. General provisions
These Terms and the Privacy Policy form the entire agreement concerning the Platform. If a provision is unenforceable, it will be limited or removed while the rest remains effective. Failure to enforce a provision is not a waiver. You may not transfer your rights without consent.
20. Force majeure
UBZ is not responsible for delay or failure caused by events beyond reasonable control, including natural disasters, government action, labour disruption, cyberattack, internet or utility outage, or failure of essential providers.
21. Language, headings, and feedback
These Terms are available in English and intended to communicate the same substantive agreement. The version and protections required by applicable law govern if an inconsistency cannot be resolved. Headings do not change interpretation. Feedback is voluntary and may be used by UBZ without restriction or compensation, provided UBZ does not acquire ownership of your pre-existing intellectual property merely because it appears in feedback.

23. Product safety, recalls, and seller duties
A seller, business, importer, manufacturer, distributor, or person giving away an item is responsible for compliance with the Canada Consumer Product Safety Act, Food and Drugs Act, Competition Act, labelling, recall, incident-reporting, tax, licensing, and other applicable rules. Do not list a product prohibited in Canada, subject to recall, unsafe, materially altered, lacking required warnings or certification, or sold contrary to age restrictions. Used-product sellers must also confirm safety. Sellers must promptly correct or remove affected listings, notify buyers where legally required, cooperate with UBZ and authorities, and provide accurate identity and contact information. UBZ may remove products and disclose seller records in response to a lawful safety request, but does not assume the seller’s legal duties.
24. Regulated services, jobs, and housing
Advertisers offering professional, health, legal, financial, construction, transportation, childcare, real-estate, immigration, employment, rental, or other regulated opportunities must hold all required licences, permits, insurance, qualifications, and authority and make required disclosures. Listings and decisions must comply with human-rights, accessibility, employment, tenancy, consumer, and anti-discrimination law. UBZ does not verify suitability or provide professional advice, and no listing or search result creates a professional-client, employment, tenancy, partnership, or agency relationship with UBZ.
25. Reviews, rankings, and recommendations
Reviews and ratings must reflect a genuine experience and must not be purchased, manipulated, fabricated, retaliatory, defamatory, or posted where there is an undisclosed material connection. Businesses may not prohibit lawful consumer reviews. Search order, badges, featured placement, similarity, and recommendations may reflect relevance, location, recency, promotion, availability, technical constraints, or other factors and are not an endorsement, certification, or statement that one listing is better, safer, or legally compliant.
26. Chat, notifications, and anti-spam
Use chat and contact information only for legitimate communication connected to a listing or requested service. Do not harass, threaten, impersonate, scrape contacts, send malware, or send unsolicited commercial electronic messages. A sender is responsible for consent, identification, unsubscribe, recordkeeping, and all other obligations under Canada’s Anti-Spam Legislation and privacy law. UBZ may filter, delay, block, preserve, or review reported communications for safety and enforcement but has no duty to monitor every message.
27. AI-assisted search and information
AI-assisted search, translations, categories, summaries, relative times, maps, prices, availability, and other automated outputs are aids only and may be incomplete, delayed, or wrong. They are not legal, medical, financial, safety, real-estate, employment, or other professional advice. Verify material information with the advertiser and an appropriate professional or authority. UBZ is not responsible for a decision made in reliance on automated output to the maximum extent permitted by law.
28. Apple, Google, and mobile-platform terms
Your app-store provider is not responsible for the Platform, user listings, support, maintenance, warranties, claims, or intellectual-property disputes except as its own terms require. Apple and Google are third-party beneficiaries of provisions intended for them and may enforce those provisions. Your use must also comply with applicable App Store or Google Play terms, device rules, and carrier charges.
29. No waiver of statutory rights
Consumer protection, privacy, human-rights, product-safety, employment, tenancy, and other laws may give you rights that cannot be waived or limited by contract. Any disclaimer, release, limitation, venue term, indemnity, or other provision applies only to the maximum extent permitted. Where a mandatory law conflicts with these Terms, that law controls and the remaining Terms continue to apply.
